Terms of Service

Lingooa (“we”, “us”, “the Platform”) operates an online marketplace that connects students (“Students”) with independent language tutors (“Tutors”) for live online lessons. We provide the technology, scheduling, payment infrastructure, and communication tools that enable Students and Tutors to transact with one another.

Tutors are independent contractors, not employees, agents, partners, or representatives of Lingooa. We do not employ Tutors, do not supervise lessons, and do not guarantee any specific learning outcome. Each contract for tutoring services is entered into directly between the Student and the Tutor; Lingooa acts solely as a facilitator and payment processor.

You must be at least 18 years old to create an account and use the Platform. Users between 13 and 17 may use the Platform only with verifiable parental or legal-guardian consent, and the parent or guardian is responsible for the minor's activity and payments. By using Lingooa you represent that you meet these requirements and that you have the legal capacity to enter into this agreement.

Both Students and Tutors may create accounts. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

• You are responsible for safeguarding your password and credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized access or breach.
• One person may not maintain multiple accounts of the same role.

• Tutors set their own hourly prices and may update them at any time, subject to Platform limits.
• Tutors are responsible for the accuracy of their profile, including qualifications, experience, language proficiency, and availability.
• Tutors must deliver tutoring services in a professional, respectful, and competent manner, on time, and using a reliable connection.
• Tutors may not solicit or accept off-platform payments from Students introduced through Lingooa, nor share contact details for the purpose of bypassing the Platform. Violations may result in immediate termination and forfeiture of pending payouts.
• Tutors are solely responsible for declaring and paying any applicable taxes on income earned through the Platform.

• Students must behave respectfully toward Tutors and other users at all times. Discrimination, harassment, and abusive language are prohibited.
• Students must pay for all lessons through the Platform only and must not arrange off-platform payments with Tutors.
• Students are responsible for attending booked lessons on time and providing the equipment and connection needed to participate.

All payments on Lingooa are processed securely through Stripe and Stripe Connect. By making a purchase you agree to Stripe's terms of service and authorize us to charge your selected payment method for the amounts shown at checkout, including applicable taxes.

• Lingooa automatically deducts a commission fee from each lesson or package purchase. The current commission rate is disclosed to Tutors in their dashboard.
• Tutor earnings are held until a lesson is confirmed completed (automatically released after a confirmation window if no dispute is raised).
• Tutors receive payouts through Stripe or other supported payout methods, subject to Stripe's transfer schedule and minimum thresholds.
• All prices are displayed in the currency shown at checkout. Currency conversion, where applicable, is performed by the payment processor.

Lingooa may offer prepaid lesson packages and recurring subscription plans that grant Students lesson credits at discounted rates.

• Subscription plans renew automatically at the end of each billing period using your saved payment method until you cancel.
• You may cancel a subscription at any time from your account. Cancellation takes effect at the end of the current billing period.
• Lesson credits may have an expiration period defined by the specific plan. Expired credits are non-refundable and non-transferable.
• Promotional credits and trial-lesson credits may be subject to additional restrictions disclosed at the time of purchase.

Lesson cancellations

• Students may cancel or reschedule a lesson at least 12 hours before its scheduled start time without penalty, with the credit returned to their balance.
• Cancellations made less than 12 hours in advance, or no-shows, result in the credit being consumed.
• If a Tutor cancels or fails to attend a lesson, the Student's credit is returned in full and the Student may be offered a complimentary rescheduling.

Refund eligibility

• Refunds may be granted for unused lesson credits within 30 days of purchase, subject to review.
• Refunds are not available for completed lessons, expired credits, or where fraud or abuse is suspected.
• Approved refunds are returned to the original payment method via Stripe and may take 5–10 business days to appear.

You agree not to:

• Engage in fraud, identity misrepresentation, or money laundering.
• Initiate chargebacks in bad faith or otherwise abuse payment dispute mechanisms.
• Harass, threaten, discriminate against, or abuse any other user.
• Bypass, attempt to bypass, or encourage others to bypass the Platform's payment system.
• Upload, share, or solicit illegal, infringing, sexually explicit, or otherwise harmful content.
• Use the Platform to scrape data, reverse engineer, or interfere with our systems or security.

The Lingooa name, logo, website, software, designs, and underlying technology are owned by Lingooa and protected by intellectual-property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

Tutors retain ownership of the original teaching materials they create and upload. By using the Platform, Tutors grant Lingooa a limited, non-exclusive, worldwide license to host, display, and transmit those materials solely for the purpose of operating the Platform.

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant the quality, qualifications, or conduct of any Tutor, nor do we guarantee any specific learning outcome, language proficiency, or test result. Reviews, ratings, and profile information are provided by users and are not endorsed by Lingooa.

To the maximum extent permitted by law, Lingooa and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or relating to your use of the Platform.

Lingooa is not responsible for disputes between Students and Tutors. Our aggregate liability for any claim shall not exceed the total amount you paid to Lingooa in the twelve (12) months preceding the event giving rise to the claim.

We may suspend, restrict, or terminate your account at our discretion if you violate these Terms, abuse the Platform, harm another user, or pose a legal or security risk. We may also remove content that violates these Terms or applicable law. Where possible, we will provide notice and an opportunity to respond, except where immediate action is required.

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using Lingooa you acknowledge that you have read and agree to the Privacy Policy.

These Terms are governed by the laws of [Jurisdiction / Country placeholder], without regard to its conflict-of-law principles.
